1. Acceptance of Terms

By accessing or using Narrateev (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to users who are subscribers to our paid services.

We reserve the right to update and change these Terms from time to time without notice. Any new features that augment or enhance the current Service will be subject to the Terms. Continued use of the Service after any such changes constitutes your consent to such changes.

2. Service Description

Narrateev is an AI-powered narrative content generation platform that helps brands and creators produce persona-targeted marketing content across social media platforms. Our Service includes:

• Campaign Management: Create and manage marketing campaigns with goals, narrative context, scheduling, and multi-platform targeting
• Asset Vaults: Upload and manage characters, environments, and audio assets with consistent branding across all content
• AI Content Generation: Generate images, carousels, and videos with AI-powered narration and captions tailored to your target personas
• Video Assembly: Create videos using Shotstack templates or AI-generated video with audio integration
• Image Preparation: Tools for background removal, object removal, resizing, and format conversion
• Social Scheduling: Schedule and deliver content to TikTok, Instagram, Facebook, LinkedIn, and YouTube

We offer subscription tiers with different credit allowances and feature access. Credits are used to generate content, with costs varying based on the quality tier and content type selected.

3. Account Registration and Security

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Notify us immediately of any breach of security or unauthorized use
• Accept responsibility for all activities that occur under your account
• Be at least 13 years of age (or the minimum age in your jurisdiction)

We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion, particularly for violations of these Terms.

4. Subscription and Billing

4.1 Credit Economy

Narrateev uses a credit-based system for content generation. Credits are consumed when you generate images, videos, audio, or use AI services. Credit costs vary based on:

• Content type (images, video, audio)
• Quality tier (standard vs. premium models)
• Duration (for video and audio content)

4.2 Subscription Tiers

We offer subscription plans that include monthly credit allowances, team seats, and feature access. Current plans and pricing are listed on our pricing page. Subscription benefits include:

• Monthly credit allocation
• Character and asset vault capacity
• Team collaboration features (on applicable tiers)
• Priority rendering and scheduling

4.3 Credit Packs

Additional credits may be purchased as one-time credit packs if you exceed your monthly allocation. Credit packs do not expire but must be used while your subscription is active.

4.4 Billing and Automatic Renewal

Paid subscriptions are billed on a recurring basis (monthly or annually). Your subscription will automatically renew unless you cancel before the end of the current billing period.

4.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Unused credits do not roll over after cancellation. Subscription fees are generally non-refundable except in cases of service outages or billing errors.

5. Payment Processing

All payments are processed securely through Stripe, Inc. ("Stripe"). By providing payment information, you:

• Represent that you are authorized to use the payment method
• Authorize us to charge all fees incurred by your account
• Agree to Stripe’s terms of service and privacy policy
• Acknowledge that we do not store your full payment information

If your payment fails, we may suspend your access to paid features until payment is resolved. You remain responsible for any uncollected amounts.

We reserve the right to change our pricing with 30 days’ notice. Price changes will not affect existing subscriptions until their next renewal date.

6. Acceptable Use

You agree not to use the Service to:

• Generate illegal, harmful, threatening, abusive, or defamatory content
• Impersonate any person or entity or misrepresent your affiliation
• Violate any applicable local, state, national, or international law
• Attempt to gain unauthorized access to the Service or other users’ accounts
• Distribute spam, malware, or other malicious content
• Use the Service for any commercial purpose without our written consent
• Reverse engineer, decompile, or disassemble any part of the Service
• Generate content that infringes on intellectual property rights
• Use the Service to compete with us or develop competing services

We reserve the right to monitor usage and suspend or terminate accounts that violate these guidelines.

7. User Content and Data

You retain ownership of any content you upload to the Service ("User Content"), including:

• Character images and assets in your vaults
• Environment and background assets
• Audio files and music tracks
• Campaign briefs, personas, and narrative context

By using the Service, you grant us:

• A license to process your content to provide the Service
• The right to store your campaigns, drafts, and generated content
• Permission to use aggregated, anonymized data for service improvement

7.1 AI-Generated Content

Content generated by the Service (images, videos, captions, narration) using your assets and prompts belongs to you, subject to the terms of the underlying AI model providers. You may use generated content for commercial purposes in accordance with your subscription tier.

7.2 Asset Rights and Responsibilities

You are solely responsible for all content you upload, create, or generate using the Service. By uploading or using any assets, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions for any characters, likenesses, personas, brand assets, logos, music, audio, or other intellectual property you upload
• Your content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or other legal rights
• You have obtained consent from any individuals whose likeness, voice, or personal information appears in your content
• Your use of any trademarked characters, brands, or copyrighted materials is properly licensed or falls within fair use

7.3 Prohibited Content

You agree not to upload, create, or generate content that:

• Infringes on copyrights, trademarks, patents, or other intellectual property rights
• Uses unlicensed characters, likenesses, or brand assets without authorization
• Contains defamatory, obscene, pornographic, or sexually explicit material
• Promotes violence, hatred, discrimination, or harm against any individual or group
• Contains false, misleading, or deceptive information intended to mislead viewers
• Violates any applicable laws or regulations
• Could reasonably be expected to cause harm to individuals, organizations, or the public

7.4 Content Liability Disclaimer

LuminAIt LLC is not responsible for any claims, damages, losses, or liabilities arising from your uploaded content or generated output. This includes but is not limited to:

• Intellectual property infringement claims from third parties
• Right of publicity or privacy violations related to likenesses or personal information
• Trademark or brand dilution claims from rights holders
• Any legal action resulting from the distribution or publication of your generated content

You agree to indemnify and hold harmless LuminAIt LLC from any claims arising from your content, as further detailed in Section 13 (Indemnification).

8. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by LuminAIt LLC ("Narrateev") and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

All trademarks, service marks, and logos used in connection with the Service are the property of their respective owners.

8.1 Third-Party Services

The Service integrates with third-party providers including Shotstack for video assembly, OpenAI and other AI providers for content generation, and social media platforms for content delivery. Your use of these integrated services is subject to their respective terms of service.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service.

By using the Service, you consent to our collection and use of personal information as outlined in our Privacy Policy, which is incorporated into these Terms by reference.

We implement appropriate security measures to protect your personal information, but cannot guarantee absolute security of data transmitted over the internet.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account and data after 30 days
• You remain liable for all charges incurred prior to termination
• Provisions that should survive termination will remain in effect

You may terminate your account at any time by contacting us or using account deletion features in the Service.

11. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or availability of the Service
• Security of data or communications

AI-generated content may contain errors, biases, or inaccuracies. You should verify important information independently and not rely solely on AI responses for critical decisions.

We do not warrant that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Narrateev be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.

Our total liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) will not exceed the amount paid by you, if any, for accessing the Service during the twelve (12) months immediately preceding the date of the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages, so these limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Narrateev and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including intellectual property rights
• Any claim that your User Content caused damage to a third party

14. Governing Law and Dispute Resolution

These Terms shall be interpreted and governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You and Narrateev agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

If for any reason a court of competent jurisdiction finds that this arbitration provision is unenforceable, then the dispute will be resolved in the state or federal courts located in California.
